Corporate Governance & Committees

The Company has a three-tier management structure, comprising the Board of Directors, the Executive Committee and the Management Committee. There is also an Audit Committee, constituted in 2006.

The Board is the highest level of authority within the Company comprising mainly non-executive directors, none of whom receive directors' remuneration from it. The Board meets with the Executive Committee, comprising six executive directors, twice a year to conduct a full review of the Company's operations.

Executive Committee

The Executive Committee meets on a quarterly basis and its scope of work includes: business review; budget approval; and senior management appraisal.

Executive committee comprises of five members : Mr. O.K. Chowdhury, Nazmul Hassan, Rabbur Reza, Ali Nawaz and Afsar Uddin Ahmed.

Mr. O.K. Chowdhury, who are members of the board, are also members of the Executive Committee.


Nazmul Hassan MP
Managing Director

Mr. Nazmul Hassan is the Managing Director of Beximco Pharmaceuticals Ltd. He also serves as the Managing Director of Shinepukur Ceramics Ltd., and Director of Beximco Group.

Since joining Beximco Pharma in 1987, Mr. Hassan has served in various capacities including Chief Executive Officer and Director Marketing & Commercial.

Mr. Hassan obtained Bachelors degree in Public Administration and an MBA degree from the University of Dhaka and Executive Education in Marketing & Strategy at University of California, Los Angeles & North Western University, Chicago, USA.

Mr. Nazmul Hassan is a prominent and highly respected executive in the region known for his business acumen and strategic thinking. He was awarded prestigious Asia’s Most Influential Leader at the Asian Brand Summit 2013, Dubai for his outstanding business leadership.

Mr. Hassan is currently the Advisor to Bangladesh Association of Pharmaceutical Industries (BAPI) where he had served as the Secretary General for four consecutive terms. He has been on various national and international committees and task force on healthcare and drugs policy, including as a Consultant to Commonwealth Secretariat in London, UK. He is considered an expert on issues related to Drug Policy, Intellectual Property Rights, TRIPs etc.

Nazmul Hassan is the President of Bangladesh Cricket Board, IBA Alumni Association and MBA Club. He is also an elected Member of the National Parliament of Bangladesh and a member of parliamentary standing committee for Health and Agriculture. He is a Member of the American Management Association and a Member of the Australian Institute of Management.

Rabbur Reza
Chief Operating Officer

Rabbur Reza is serving as Chief Operating Officer of the Company since March 2009. He has over 20 years of in-depth experience and knowledge in the various aspects of the generic pharmaceutical industry, including sales, marketing and brand management, international business development, operations management and regulatory and business strategies.

He holds a Bachelor of Pharmacy from Panjab University, India and an MBA from Queensland University of Technology (QUT), Australia. He has also participated in executive education in Strategy and Leadership at Harvard Business School, USA and London Business School, UK. He joined Beximco Pharma in 1992 and continued until 1997 before he left to pursue higher studies in Australia. He worked for six years with Biotech and Milton Pharmaceuticals, Australia. He rejoined Beximco Pharma in March 2005 as Executive Director, Marketing and promoted to Director, Marketing and Business Development in February 2006.

He is a fellow of Australian Institute of Management, a member of Pharmaceutical Society of Australia, and also a member of Montreal Protocol’s Medical Technical Options Committee (United Nations Environment Program – UNEP). Rabbur Reza received “Australian Alumni Excellence Awards 2014” in the category of Business and Leadership in recognition to business leadership, commitment to responsible business practices and inspiration to others.

Ali Nawaz
Chief Financial Officer

Ali Nawaz qualified as a CMA from the institute of Cost and Management Accountants of Bangladesh in 1988, and is currently a Fellow Member of the Institute. He obtained an MBA from the Institute of Business Administration, University of Dhaka in 1990.

After joining as a management trainee in 1990, he worked for different entities within the Beximco group of companies, in varying capacities. He was appointed Chief Financial Officer of Beximco Pharma in 2003.


Afsar Uddin Ahmed
Director Commercial

Mr. Ahmed completed his MBA in 1987 from the Institute of Business Administration (IBA), University of Dhaka, with a major in Marketing. Mr. Ahmed also attended a training program at International Management Centre, IIkley College, IIkley, West Yorkshire, UK.

Since his joining BPL in 1989, Mr. Ahmed has worked in and supervised a number of operational areas including- Marketing, Sales, Distribution, Exports, Planning, Procurement, MIS, Business Development, Project Management and API business. Mr. Ahmed also worked as the Country Manager of BPL’s Pakistan operation.

He worked for sanofi-Aventis as Director Marketing of its Bangladesh operation from March’02 to April’03. In this role, Mr. Ahmed oversaw the marketing operations of several business units.

Mr. Ahmed rejoined Beximco Pharma in May’03 as Director Marketing and currently he is working as the Director Commercial of BPL.

Management Committee

The Management Committee comprises operational heads and representatives of the Board and Executive Committee and is chaired by the Managing Director. The Management Committee meets on a monthly basis, is responsible for implementing the decisions of the Executive Committee and supervising the day to day affairs of the Company and reports to the Executive Committee at least on a quarterly basis

Mr. O.K. Chowdhury, Mr. N. Hassan, Mr. R. Reza, Mr. A. Nawaz and Mr. A.U. Ahmed, whose profiles have been outlined previously, are also members of the Management Committee. Other members of the management committee are :


Lutfur Rahman

Director, Manufacturing

Mr. Rahman heads the industrial operations of the company, having joined the organization in 1993. He is a pharmacist graduate from the University of Dhaka and has 38 years experience in the pharmaceuticals industry, having worked for multi-nationals including GSK, Squibb, Cipla, Astra and Hoechst.


Rizvi Ul Kabir

Director Marketing

Mr Rizvi Ul Kabir is the ‘Director Marketing’ of Beximco Pharmaceuticals Ltd (BPL). As the Director Marketing of Beximco Pharma, Mr Rizvi Ul Kabir is responsible for both Marketing and Sales of the Company. Prior to his appointment as Director Marketing of BPL in January 2017, Mr Rizvi Ul Kabir served Beximco Pharma as its ‘Executive Director, Sales’ for about 3 years.

Mr Rizvi Ul Kabir obtained his Bachelors’ degree in Electrical Engineering from Bangladesh University of Engineering & Technology (BUET) and completed his Masters of Business Administration (MBA) from Institute of Business Administration (IBA) of Dhaka University. Mr Rizvi also did his ‘Executive Education’ on ‘Competing in a Global Environment’ from Indian School of Business (ISB), Hyderabad of India and on ‘Program for Quality Management (PQM) from Japan.

Since his joining Beximco Pharma in 1994, Mr Rizvi Ul Kabir served BPL in different Capacities including Export Manager, Sr. Manager Sales & Marketing, Head of Infusion Business, Head of International Business, DGM Marketing etc. During his long career with Beximco Pharma, Mr Rizvi also led many ‘Strategically Important Special Projects’ of the company.

Mr Rizvi Ul Kabir also worked for Shinepukur Ceramics Ltd as its Chief Operating Officer (COO) for 5 years (from June 2009 to May 2014). Its worth mentioning that Shinepukur Ceramics is one of the sister concerns of Beximco Pharma, within Beximco Group.

During 2010 to 2014, Mr Rizvi Ul Kabir served Bangladesh Ceramic Ware Manufacturers’ Association as its “Elected Secretary General” for two (2) consecutive terms. For his outstanding contributions in the Ceramic Sector of Bangladesh, Mr Rizvi Ul Kabir received ‘Financial Mirror Business Award in 2010’ and ‘Arthakantha Business Award in 2013’.


Md. Zakaria Seraj Chowdhury

Director, International Marketing

Mr. Chowdhury is a specialist on pharmaceutical sales management having an immense experience over 27 years. After completion of his graduation from University of Dhaka he started his career path in pharmaceutical sales management. He commenced his journey with Beximco Pharmaceuticals in 1984 and still serving the company with glory. He has served the company at several sales positions showing brilliant leadership role during his 25 years of service tenure. He was appointed as Director, Sales in 2006 as the consequence of his outstanding contribution toward organization. He has taken the leadership of International Marketing the most potential sector of the organization from 1st January, 2010 as Director, International Marketing.

During 27 years of his glorious career Mr. Chowdhury joined a lot of seminars and workshops both in country and abroad. He attended at a course on Managing Sales in a Competitive Environment conducted in Institute of Business Administration, University of Dhaka. He participated in advanced training programs in sales and marketing management at the National University of Singapore and Indian School of Business.

Mr. Zakaria took part at a workshop titled Participative Leadership for Innovation held under the auspices of American Alumni Association. He also attended 6th Annual Eye for Pharma Sales Force Effectiveness (SFE) Europe held in Barcelona, Spain.


Mohammad Tahir Siddique

Director, Quality Assurance

Mohd. Tahir Siddique obtained Batchelor of Pharmacy degree from University of Dhaka and Master of Science in Pharmaceutical Technology from University of London. He also studied Postgraduate Diploma in Management Studies (DMS) in UK and MBA at a local private university.
He started his career with Hoechst Bangladesh Limited in early 1989. He also worked as Factory Manager of Ibne Sina Pharmaceuticals Limited before joining GlaxoSmithKline Bangladesh Limited in 1997. He worked at GlaxoSmithKline Bangladesh Limited in varying capacities including General Manager- Quality Assurance. He joined Beximco Pharmaceuticals Limited in Aug 2005 as General Manager- Quality Assurance.


Shamim Momtaz

Director, Manufacturing

Mr. Shamim Momtaz completed his Master of Pharmacy from the University of Dhaka. He started his career with Beximco Pharmaceuticals Limited in the year 1987. Later in 1989 he joined in Sanofi Aventis and became Plant Manager in the year 2002. He worked with Healthcare Pharmaceuticals from 2004 to 2007 as Site Director. In 2007 he joined Beximco Pharmaceuticals as Executive Director, Manufacturing (Track II).


Abdur Rouf Mohammad Zahidur Rahman

Executive Director, Manufacturing

Mr. Rahman completed his Master of Pharmacy in 1987 from Department of Pharmacy, University of Dhaka and qualified as a registered Pharmacist. He began his career with Drug International Limited as a Production Pharmacist in 1987, before joining BPL in 1989 as a Production Officer. He is member of Bangladesh Pharmaceuticals Society and Pharmacy Graduate Association of Bangladesh.


Jamal Ahmed Choudhury

Executive Director, Accounts & Finance

Mr. Choudhury qualified as a Cost & Management Accountant from the Institute of Cost and Management Accountants of Bangladesh in 1991 and completed his MBA with a major in finance from the Institute of Business Administration, University of Dhaka in 1997.


Prabir Ghose

Executive Director, Quality Assurance

Mr. Ghose completed his Master of Pharmacy from the University of Dhaka. He started his career with Standard Pharmaceuticals Limited in the year 1980 as a Production Pharmacist. Later on 1981 he joined in Glaxo Bangladesh Limited, presently known as GSK and became Quality Compliance Manager. He worked with Square Pharmaceuticals Limited from October, 1995 to October 2005 as Head of Quality Assurance. In November, 2005 he joined Beximco Pharmaceuticals as General Manager, Quality Assurance.

Audit Committee

The Audit Committee consists of three non-executive directors. Dr. Abdur Rahman Khan is the chairman of the Audit Committee while Osman Kaiser Chowdhury and Shah Monjurul Hoque are the members. The Committee assists the Board of Directors of the Company in ensuring that its financial statements reflect true and fair view of its state of affairs and in ensuring a good monitoring and internal control systems within the business. The Audit Committee shall be responsible to the Board of Directors.

Code on Corporate Governance

The Bangladesh Securities and Exchange Commission (BSEC) through their notification No. SEC/CMRRCD/2006-158/134/Admin/44 dated 7th August, 2012 has issued a set of “Conditions” on Corporate Governance which are to be mandatorily complied with by the Companies listed in Bangladesh stock exchanges. Beximco Pharmaceuticals Ltd being a listed Company in Bangladesh follows the code of Corporate Governance issued by BSEC.

The said BSEC notification also requires that the Company’s compliance with the aforementioned “Conditions” is to be certified by a competent authority specified in the notification. A report of the directors on compliance with the “Conditions” is also required to be published in the annual report of the Company.

Applicability of UK City Code on Mergers and Takeovers

Beximco Pharmaceuticals Limited being a Company incorporated in Bangladesh does not fall under the purview of the UK City Code on Mergers and Takeovers.

There is no local law similar to the UK City Code on Mergers and Takeovers that is applicable to the Company and neither has the Company voluntarily adopted any such provisions.
